Client Work

Upon full payment for services rendered, clients will own the intellectual property rights to the deliverables created specifically for them, unless otherwise specified in a separate agreement. Notelia retains the right to:

• Use completed projects in our portfolio
• Retain any pre-existing intellectual property or reusable components
• Use general knowledge and skills gained during the project

Payment terms will be specified in individual service agreements or proposals. General payment terms include:

• Payment schedules are defined in project proposals or contracts
• Invoices are due within the specified payment period (typically 15-30 days)
• Late payments may incur additional fees or interest charges
• Work may be suspended if payments are not received as scheduled
• All prices are quoted in the currency specified in the agreement
• Prices are exclusive of applicable taxes unless stated otherwise

Project timelines are estimates based on the information provided at the time of proposal. Actual timelines may vary due to:

• Changes in project scope or requirements
• Delays in client feedback or approvals
• Unavailability of required resources or third-party services
• Technical challenges or unforeseen circumstances

We will make reasonable efforts to meet agreed-upon deadlines and will communicate any potential delays promptly.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our services will be accurate or reliable
• Any errors in our services will be corrected

We provide warranty periods for specific deliverables as outlined in individual service agreements, typically covering defects in workmanship for a specified period after delivery.

To the maximum extent permitted by law, Notelia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Loss of goodwill or reputation

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Violation of intellectual property rights

Upon termination, your right to use our services will immediately cease. Termination does not relieve you of any payment obligations incurred prior to termination.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation continues even after the termination of services.

Confidential information does not include information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of confidential information
• Is required to be disclosed by law or court order

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations.

If the dispute cannot be resolved through negotiation within 30 days, the parties may pursue mediation or arbitration before resorting to litigation.
